Checkout Terms & Attestation Agreement

1. Parties and scope

This Checkout Terms & Attestation Agreement (the “Agreement”) governs every order placed with DIALED Research (“Seller”) by the purchaser identified at checkout (“Buyer”). By selecting each required attestation and placing the order, Buyer, on behalf of the organization Buyer represents, agrees to this Agreement. Website access and browsing are governed separately by the Site Entry Terms & Acknowledgments.

2. Materials are for laboratory research use only

All products sold by Seller (the “Materials”) are supplied strictly for laboratory research use only. Materials are not foods, drugs, cosmetics, medical devices, or dietary supplements, and are not approved for any human or veterinary use. Materials are not for human consumption, administration, injection, inhalation, or topical application, and not for any diagnostic, therapeutic, clinical, or household purpose.

3. Buyer attestations

Buyer affirms each of the following as a condition of the order. Each attestation is recorded with the order as evidence of assent.

• Age 21 or older. The individual completing checkout is at least twenty-one (21) years old.
• Research-use-only purchase. Every product in the Order is being purchased solely for legitimate laboratory research and is not for human consumption, administration, or any clinical/household use.
• Experienced researcher. The individual completing checkout is an experienced researcher, or is acting under the direct authority and supervision of an experienced researcher, with the training, qualifications, facilities, and procedures appropriate for the materials ordered.
• Business-to-business / institutional transaction only. The Order is placed solely by or for a business, laboratory, academic institution, or other organizational purchaser. It is not placed for personal, family, household, or other consumer purposes.
• Legally authorized receipt. The Buyer is legally authorized to purchase and receive the Materials in the jurisdiction where they will be received, possessed, and used, and the purchase does not violate applicable law.

4. Buyer responsibilities

Buyer is solely responsible for the safe and lawful receipt, storage, handling, and use of the Materials, including compliance with all applicable laws, regulations, institutional policies, and safety requirements. Buyer will not resell or transfer Materials for any use inconsistent with this Agreement.

5. No medical or regulatory claims

Seller makes no claims that Materials diagnose, treat, cure, or prevent any disease. Product identification, certificates of analysis, and catalog information are provided for research characterization only and do not constitute medical, legal, or regulatory advice.

6. Payment, shipping, and refunds

Card payments are processed by Stripe through Seller’s payment platform provider; card details are collected by Stripe and are not received or stored by Seller. Orders ship after payment is confirmed. Shipping and refund terms are set out in Seller’s Shipping Policy and Refund Policy, which form part of this Agreement.

7. Electronic assent and evidence

Buyer’s selection of each attestation checkbox and submission of the order constitute Buyer’s electronic signature and agreement to this Agreement. Seller and its compliance platform provider may retain the attestation record — including the attestation text presented, the time of assent, a hashed network identifier, and a cryptographic hash of this document — as evidence of assent for the order.

8. Limitation of liability

To the fullest extent permitted by law, Seller is not liable for any damages arising from misuse of Materials or from any use inconsistent with this Agreement. Seller’s total liability for any claim relating to an order is limited to the purchase price of the Materials in that order.

9. Governing terms

If there is a conflict between this Agreement and the Site Entry Terms regarding research-use-only status or buyer qualifications at the time of purchase, this Agreement controls. Seller’s Terms of Service and Privacy Policy apply in addition to this Agreement.
